Operational Contract your Company enters into with SAAM
Please find below an overview of the operational contract that SAAM will enter with your Company.
1. Parties.
This Contract is between South American Assets Management SA (‘SAAM’) and the Owners of a Limited Liability Company (‘Investment Company’) called [Name] of which Powerscourt Services Ltd (‘Powerscourt’) is the Agent.
2. References.
This Contract refers to property used for agricultural purposes in Argentina (‘Land’) to be acquired through movewithus in Argentina (‘movewithus’), and held through a company in Argentina (‘Ownership Company’) in which the Investment Company holds one or more shares.
3. Fees.
SAAM undertakes to pay all Fees, including those charged by and through Powerscourt and any successor as Agent in the formation and operation of the Investment Company, and those incurred by the Ownership Company in its formation and operation, and in the acquisition and sale of the Land.
4. Taxes.
SAAM undertakes to pay all Argentinean taxes levied on the Ownership Company.
5. Annual Rent.
Over and above such Fees taxes, SAAM undertakes to pay an annual rent for the Land equal to 10% of its purchase price, for ten years after acquisition; this rent will be payable 12 months in arrears from the time of purchase.
